1. Agreement to Terms

By accessing or using Launch Brand Labs' services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

3.1 Application: Submitting an application does not guarantee acceptance. We review all applications and select projects that align with our capacity and expertise.

3.2 Scope Agreement: Upon acceptance, we will conduct a kickoff call to define the project scope, deliverables, and timeline. The agreed scope will be documented in a Statement of Work (SOW).

3.3 Payment Terms: 50% deposit due before work begins, 50% due upon delivery. Payment is required via wire transfer, ACH, or credit card.

4. Delivery Guarantee

4.1 Timeline: We commit to delivering the agreed scope within the stated timeline (5 or 14 days from kickoff).

4.2 Guarantee: If we miss the delivery date due to our fault, we will continue working at no additional cost until the project is delivered. This guarantee does not apply to delays caused by:

5.1 Minor Changes: Small refinements and adjustments within the original scope are included.

5.2 Major Changes: Significant scope changes may extend the timeline or require additional fees. We will communicate the impact before proceeding.

5.3 Additional Features: Features beyond the agreed scope can be added at $1,500 per feature, subject to timeline adjustments.

7.1 Ownership: Upon full payment, all code, designs, and assets created for your project are transferred to you.

7.2 Pre-Existing Materials: We retain ownership of any pre-existing code libraries, frameworks, or tools used in development.

7.3 Portfolio Rights: We reserve the right to showcase the project in our portfolio unless otherwise agreed in writing.

8. Warranties and Limitations

8.1 Code Quality: We deliver production-ready, maintainable code following industry best practices.

8.2 No Warranty of Results: While we strive for excellence, we do not guarantee specific business outcomes, user adoption, or revenue generation.

8.3 Third-Party Services: We are not responsible for the performance, availability, or pricing changes of third-party services (Stripe, AWS, etc.).

9. Post-Launch Support

9.1 Bug Fixes: We provide 14 days of free bug fixes after delivery for issues present at launch.

9.2 Ongoing Support: Optional post-launch support is available at $2,500/month for maintenance, updates, and new features.

9.3 Exclusions: Support does not cover issues caused by client modifications, server configuration changes, or third-party service failures.

10. Confidentiality

We will keep all project information, business plans, and proprietary data confidential. We will not share your information with third parties except as necessary to deliver services (e.g., hosting providers).

11. Termination

11.1 By Client: You may terminate the engagement before delivery. The deposit is non-refundable, but you will receive all work completed to date.

11.2 By Us: We may terminate if you breach these terms, fail to provide timely feedback, or engage in abusive behavior. In such cases, the deposit is non-refundable.

12. Limitation of Liability

Our total liability for any claims arising from our services shall not exceed the amount paid for the specific project. We are not liable for indirect, incidental, or consequential damages.

13. Dispute Resolution

Any disputes will be resolved through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Governing Law

These terms are governed by the laws of the United States, without regard to conflict of law principles.

15. Changes to Terms

We may update these Terms of Service from time to time. We will notify active clients of material changes. Continued use of our services constitutes acceptance of the updated terms.
